MBA Protocol – MBA Guided Quest Terms of Purchase (v3.0)

This is an Agreement between You (“Client” or “You”) and Career Protocol, LLC (“MBA Protocol” or “Career Protocol” or “We/Us” or “Company”). The purpose of this Agreement is to describe the terms under which Career Protocol LLC through the MBA Protocol and Happy at Work brands (aliases of Career Protocol), will provide you with services to help you in applying to business school during one application round through the MBA Guided Quest Package.

By checking the box at checkout, you agree to these Terms of Purchase, and the MBA Guided Quest Fair Play Terms (v1.0) and the 7-Day Coach Fit Reserve Guarantee Terms. If there is any inconsistency, these Terms of Purchase take precedence.

1. Integrity & Authorship

We do not ghostwrite or plagiarize. You author drafts; we thought-partner, coach, edit, and train communication skills.

We make no admission guarantees, and you acknowledge that results vary by inputs, effort, and school choices.

You further represent and agree:

  • That all information and materials you have provided or will provide to Career Protocol and its representatives are truthful, accurate, and written by you (i.e. not plagiarized or written by anyone else, including artificial intelligence).
  • That MBA Protocol is not obligated to edit work that has been written, rewritten or edited by a third party, including artificial intelligence.
  • That MBA Protocol is not obligated to line-edit recommendations, whether written by the recommender or by you, but will give broader feedback and advice on the recommendation (for packages that include recommendation review).
  • That MBA Protocol is not obligated to edit essay drafts more than 50% over the stated word limit.
  • That once a coach has reviewed one draft of one essay, recommendation memo, or short answer document for a given school’s application, you have committed to completing this application and cannot start a different application later in the engagement in its place, without both applications “counting” toward the number of schools in your package.

2. Scope & Deliverables

2.1 Scope of Services; Work Process and Limits

  • End-to-end strategy; defined-scope execution. Company will (i) conduct story discovery and narrative strategy; (ii) advise on school selection and career gameplanning; and (iii) deliver scoped application execution (resume overhaul, recommender brief/strategy, school‑specific essays, and interview preparation resources) for the schools purchased under Client’s package: “coached schools”, subject to the service level agreements (SLAs) applicable to that package. Specific inclusions by package are set forth in Appendix A.
  • Iterative reviews within capacity limits. “Unlimited drafts” means iterative editorial reviews within the purchased scope and timeline, capped at up to two (2) document rounds per document per week, with no more than two (2) schools active in parallel. Same‑day or ≤24‑hour returns require purchase of a Rush Review fee.

2.2 School Portfolio Calibration; Risk Disclosure; Next‑Round Eligibility

  • Portfolio calibration and odds. Prior to drafting, Client will complete Company’s MBAmo™ odds calibration process. Company and Client will document a “School Portfolio Matrix” by school (reach/match/safer) for transparent calibration and subsequently lock in school 1. Client retains final school portfolio selection decision; Company will support any schools Client chooses. For transparency and to maintain eligibility under the One Admit LFG Guarantee, portfolios should include at least one safer school per five total applications and no fewer than five total applications.

2.3 “One Admit LFG Guarantee” (if offered at checkout; not available for Essentials Package)

  • Eligibility conditions. Client qualifies for no‑charge enrollment in the next available MBA LFG (Level Up, Focus, Get In: Our 7-week pre-deadline sprint program) cohort (the “Remedy”) only if all of the following are met:
    1. prior to drafting, Client completes MBAmo odds and, together with Company, finalizes a written School Portfolio Matrix including at least one (1) safer school per five (5) total applications and at least 5 total applications (specific portfolio must be signed off by coach);
    2. Client meets the Hands-Off Day deadline for each coached school; and
    3. Client implements coach feedback in good faith (including attending required sessions, using Company templates/formats, and substantively adopting recommended revisions and strategy).
  • Outcome trigger. If, after meeting all Eligibility conditions, Client receives zero (0) offers for admission from submitted schools in the covered round, the Remedy applies. Any offer of admission (including from a safer school) satisfies program objectives and voids this One Admit LFG Guarantee.
  • Documentation. Client must provide reasonable documentation upon request (e.g., finalized School Portfolio Matrix, timestamped submission logs, draft/revision history, and official decision letters).
  • Claim process and timing. Client should email [email protected] within fourteen (14) days of final decisions of the covered round with subject “One Admit LFG Claim,” include link to completed MBA Protocol Project Management Dashboard with decision outcomes. Upon verification, Company enrolls Client in the next available LFG cohort at no charge. No cash refunds or credits.
  • Scope of Remedy. Remedy is limited to one (1) LFG cohort seat under then‑current LFG terms and scope. It excludes 1:1 services, add‑ons, Rush Review, or additional schools (available at current rates). Non‑transferable; no cash value; must be used in the subsequent 12 months unless otherwise agreed in writing.
  • Exclusions. One Admit LFG Guarantee is void if Client: (a) omits a safer school per five in the final risk matrix or submits fewer than 5 completed applications (including coached school and schools completed without coaching support); (b) misses any school submission‑window deadline; (c) declines an offer of admission for reasons unrelated to Company’s services; (d) materially misrepresents information; (e) withdraws or incompletely submits applications; or (f) fails to implement coach feedback in good faith. Waitlist outcomes are not “offers” unless converted to admits within the covered round.
  • Availability. Not available for Essentials; available for other tiers only when offered at checkout.
  • Relationship to other terms. This One Admit LFG Guarantee is a conditional service remedy only and does not alter the Refund terms, SLAs, or Work‑In‑Progress caps. Company may update MBA LFG program features; such updates do not diminish the Remedy’s value.

2.4 Resources and Community Access

  • License: During your engagement, Company grants you a limited, personal, non‑transferable, non‑assignable, non‑sublicensable, revocable license to access Company’s proprietary resources (application guidance, toolkits, template library, videos) and online community (collectively, “Resources”) solely for your individual use in connection with the Services.
  • Term: Access runs through your engagement and through April 30 of the application season year (e.g. 2025-26 application season access ends April 30, 2026), unless otherwise stated in writing. Company may modify, replace, or retire non‑material components of the Resources without notice; this does not reduce core Services.
  • Use restrictions: You will not copy, share, distribute, publish, train others on, or reverse‑engineer any Resources. Logins are personal and may not be shared.
  • Community: You agree to follow our conduct rules; Company may moderate, suspend, or remove access for violations without refund.
  • Availability: Company will use commercially reasonable efforts to maintain availability but may perform maintenance or make changes to improve performance and security. Modifications to community features or non-material components do not alter SLAs and are not grounds for refund.

2.5 Results & Proof; Reporting and Permissions

  • Results reporting. Company leads with proof and publishes outcomes (e.g., admits, scholarships) aggregated by profile to substantiate advertising claims. Client agrees to respond to outcome prompts at each milestone (submission, interview invite, admit, scholarship) so records remain accurate. Anonymized outcomes may be used for educational/proof purposes; any named/image testimonials require Client’s explicit written consent and may be withdrawn prospectively.

3. Payment Terms

3.1 Payment

You agree to pay the amount visible at checkout upon executing this Agreement. You understand that MBA Protocol will not begin providing the Services until receiving first payment.

3.2 Payment Plans

If you choose a payment plan option, you are responsible for keeping a current credit card on file with us until your payment obligations have been met. Subsequent payments may be charged automatically per the payment plan checkout function.

3.3 Package Changes and Upgrades

Client may upgrade to a higher tier at current list rates. Company will credit amounts paid on the current engagement against the upgrade price. A $500 re‑scope/transition fee applies. Prior promotional credits/bonuses are not transferable. Upgrades adopt the then‑current Terms of Purchase and SLAs for the higher tier.

3.4 Invoices and Additional Fees

MBA Protocol will send a timely invoice or link to pay for any additional fees (Rush Review fees, additional schools, round change fee, et al.) or for installment payments if agreed upon outside of the standard auto-deduction system. You agree to pay these additional invoiced amounts upon receipt. You agree to waive any right to contest any invoice unless any objection or dispute is communicated to MBA Protocol in writing within seven (7) days of receiving the invoice.

3.5 Failed payments and suspension or termination

If your card on file ever declines and you therefore become behind on any installment payments to us, you agree that work will stop immediately until payment is complete. You further agree that upon providing us with a new credit card, we have permission to charge your updated card for all past due payments. Failure to provide updated payment information in response to a failed charge will result in automatic suspension; we will rescind access to the Resources, cancel your registration, terminate any and all applicable Services, and you will be ineligible to access any services in the future.

Please note that enrollment in any Product or Service creates a binding payment obligation for the full amount. Terminating or withholding payment does not release you from this obligation, and all fees remain due and payable regardless of participation or completion. As such, failure to pay for any Product or Service in full is a violation of the Agreement and you may be subject to debt collection and/or legal action. 

4. Refund Policy and Delivery Terms

4.1 No refunds

The MBA Guided Quest entails our 7-Day Coach Fit Reserve Guarantee; after seven (7) days or final coach selection, no refunds will be issued for any reason.

4.2 The 7-Day Coach Fit Reserve Guarantee

Upon payment, you reserve a prospective primary coach. Within seven (7) days of payment (the “7-Day Coach Fit Reserve Window”), Company will offer at least three (3) mutually convenient interview time options for one (1) twenty‑five (25) minute meeting with a proposed coach within two (2) business days of payment, and, if requested immediately after the first call, a second proposed coach within three (3) business days of the first meeting. If, after up to two (2) such interviews, you determine at your sole discretion that no satisfactory fit exists, you may request a full refund by emailing [email protected] with subject “Coach‑Fit Refund,” your order ID, and a one‑line “why no fit” statement, within the 7-Day Coach Fit Reserve Window. Refunds, if approved, will be issued to the original payment method within five to seven (5–7) business days. Upon your coach selection, or upon expiration of the 7-Day Coach Fit Reserve Window, whichever occurs first, all payments become non‑refundable.

This Coach‑Fit Reserve Guarantee does not cover dissatisfaction with outcomes (including, without limitation, admissions or scholarships). If you fail to schedule or attend offered interviews within the 7-Day Coach Fit Reserve Window despite available slots, the window still elapses and the reservation becomes non‑refundable. Company’s scheduling service levels are as stated above; if Company fails to meet a stated scheduling SLA, Company will issue a “Priority Turnaround Week” (one calendar week when all documents are returned within one (1) business day by Midnight Pacific Time) service credit during the drafting phase as the sole remedy (no cash).

Post‑activation, you may request one (1) reassignment of your primary coach within seven (7) days of kickoff post‑activation. Standard service levels (2–3 business‑day reviews; or 24–48h where Priority applies) remain in force post‑activation.

4.3 Timing and delivery

Refunds will be issued to your original method of payment within 5–7 business days and will take a further 5-10 business days to clear per our payment processor. Once issued, we will rescind access to the Resources, cancel your registration, and terminate any and all applicable Services and Products.

4.4 Expiration of services

After the 7-Day Coach Fit Reserve window, all fees are non-refundable and will not roll-over to the next application season regardless of whether you have used all of the Services for which you paid during the application season to which this Agreement applies.

5. Turnaround and Service Level Agreements

5.1 Deliverable Speed

  • Document: Document means a single draft of an essay, recommendation memo, recommendation, short-answer set, resume, or email with substantial content or questions.
  • Standard Review: Unless otherwise communicated in writing in advance, deliverables will be returned within two (2) to three (3) business days by midnight Pacific Time on the third business day at the latest.
  • Priority Review: Unless otherwise communicated in writing in advance, deliverables will be returned within twenty-four (24) to forty-eight (48) business hours; by midnight Pacific Time on the second business day at the latest.
  • Rush Review: Unless otherwise communicated in writing in advance, deliverables will be returned next business day, where the Rush Review service has been purchased for a given document draft.
  • Messages: Unless otherwise communicated in writing in advance, responses will be provided within two (2) business days.
  • Missed SLA: If a Service Level Agreement is not met and communication not delivered in advance, the Client will receive a “Priority Turnaround Week” credit, to be applied during the drafting process.
  • Holidays:
    • MBA Protocol excludes U.S. public holidays from all turnaround calculations, including the period of December 21 through January 4 (“Holiday Turnaround Schedule”). Exceptions to this policy must be agreed upon in writing at least fourteen (14) days in advance with the assigned Coach and may be subject to additional Rush Review fees.
    • Business hours and holiday schedules will be published in advance in your MBA Protocol Project Management Dashboard.

5.2 Work In Progress Cap

  • A maximum of two (2) schools may be active at any given time; additional schools will be queued.
  • A maximum of two (2) rounds of revisions per document will be facilitated per week.

5.3 Content Freeze

  • Within seven (7) days of a school deadline, only light edits will be accepted. Structural rewrites require deferring to a later round or incur Rush Review fees.

5.4 School Portfolio Changes

  • School 1 is locked in week 1 and cannot be changed beyond fourteen (14) days without a fee; remaining schools chosen later.
  • Once a coach has reviewed one draft of one essay, recommendation memo, or short answer document for a given school’s application; that school counts as one of your package coached schools and cannot be substituted.

5.5 Interview Preparation

  • Inclusion and scope. Interview preparation resources (guides, frameworks, video guidance) are included with the engagement. Mock interviews (“Mocks”) are provided only as scoped in Client’s package (see Appendix A). Additional Mocks may be purchased as “Interview Packs” (per‑mock, per‑school, or all‑access), subject to availability.
  • Scheduling and SLAs. Mocks are scheduled on mutually available slots; Company will offer at least three (3) options in Pacific Time within five (5) business days of request. Standard feedback delivery follows package SLAs. Company may assign a different interviewer than Client’s coach.
  • Rescheduling, no‑shows, forfeiture. Client may reschedule with ≥24 hours’ notice without penalty. Cancellations inside 24 hours or no‑shows count as used and are non‑refundable. “All‑access” packs permit multiple sessions within the stated window but remain subject to capacity and reschedule rules.
  • Term and transfer. Interview Packs expire at the end of the current application season (unless otherwise stated), are single‑user, non‑transferable, and non‑refundable.
  • Recording and privacy. Mock sessions may be recorded and shared with Client, and/or used for internal review/replay within the company; external use requires a separate written media release (opt‑in only at client discretion).
  • Disclaimers. Interview prep does not guarantee an interview invite, offer, or scholarship. All outcomes vary by profile, inputs, and institutional decisions.

6. Single Round of Service; Hands-Off Days; Rescheduling

6.1 Single round of service; deadline alignment; no straddling rounds

  • Hands-Off Day: To ensure efficient work process and manage coach and Client  workload, Client will select one (1) Materials Hands‑Off Day deadline (the “Hands-Off Day”, AKA the day the coach will stop engaging on application materials) within 7 days of Kick off from the published list below. Client may make one (1) amendment within fourteen (14) days of program kickoff without fee.
  • Hands-Off Day Options: 2025–26 season: Dec 12, Dec 19, Jan 9, Jan 21. 2026–27 season: Aug 10, Aug 20, Sep 11, Sep 25, Oct 16, Nov 6, Dec 13, Dec 20, Jan 8, Jan 22.
  • Single Round of Service: Client must utilize coaching on all coached schools in the package before the Hands-Off Day. If Client needs to change Hands-Off Day post the 14-day grace period or move one or more applications to a later round after completing substantial work on one or more applications for an earlier round, a $3,000 fee applies.
  • Deadline Alignment: Client’s Hands-Off Day must be in the same round as the earliest planned application submission deadline for any coached application. Selecting a later window constitutes Client’s election to defer all coach assistance to that later round (work to begin in October for post-November Hands Off Days.)
  • Round Straddling: Electing to submit any coached school in a different round (“Round Straddling”) requires purchase of a $3,000 Round‑Straddle Upgrade per additional round. Absent the Round-Straddle Upgrade, Company may decline work in the additional round.

6.2 Change Fee (post‑grace)

  • After Day 14 from kickoff, any Client‑initiated change to the Hands-Off Day incurs a $1,500 Change Fee if the new date is in the same round or a $3,000 change fee if it moves to the next round per extension/date change unless covered by Home‑Stretch Flex Insurance.

6.3 Home‑Stretch Flex Insurance (optional)

  • If purchased no later than fourteen (14) days from kickoff, Home‑Stretch Flex Insurance covers one (1) post‑Day‑14 round change without the $3,000 Round Change or Round-Straddle Upgrade fee Insurance is single‑use, non‑transferable, and non‑refundable and is subject to coach capacity constraints. If unused by final submission, Company will apply a $1,000 service credit toward one Interview or Bonus Pack (no cash value; expires at season end if unused).

6.4 Early‑Completion Credit

  • Selecting an Early window (Aug 10, Aug 20, Dec 12, or Dec 19) qualifies Client for a conditional $1,500 credit upon timely completion of all three milestones:
    1. You Discovery™  + Draft 1 by Kickoff + 21 days (or resume and recommendation memos complete if essay topics have not yet been released);
    2. school 1 essays finalized by Kickoff + 44 days (or essay release date + 21 days); and
    3. all school materials complete by the selected early Hands‑Off Day. Credits are forfeited if any milestone is missed; credits have no cash value and, if not redeemed, expire at season end.

6.5 Holiday Overrun Surcharge

  • If Client selects Dec 12 or Dec 19 and, due to Client‑caused delays, work continues past December 19 (Pacific  Time), a Holiday Overrun Surcharge of $500 per document is assessed (one time per document). “Document” means a single essay, recommendation, short‑answer set, or resume. Package SLAs apply; Rush Review fees are separate.

6.6 Operational notes

  • Coach will publish recommended key milestone due dates per Hands-Off Day. Missing deliverable recommended turnaround milestones may impact Hands-Off Days and may require Priority/Rush Review upgrades where available.

7. Communications & Platforms

Communications will be delivered via email, the Happy at Work online community platform and app, and scheduled Google Meet/Zoom calls. Though the Company may use SMS or phone for operations or scheduling, Coaches do not communicate via phone or SMS.

It is your responsibility to enable notifications and ensure you are subscribed to MBA Protocol marketing/service emails to meet shared deadlines.

Opting out may delay service. We also recommend safelisting MBA Protocol, Career Protocol, and Happy at Work emails to ensure delivery to your primary inbox. We are not responsible for missed email communications.

8. Client Confidentiality

Confidentiality varies by context (1:1 services vs. group/community) per the below.

8.1 Confidentiality of Client Materials

  • MBA Protocol shall maintain the confidentiality of any personal information provided by the Client in connection with the Services. The Company acknowledges and agrees that the Client’s personal essays, resume, and written application materials are the sole property of the Client, notwithstanding any edits, revisions, or feedback provided by the Company.
  • The Client shall not transmit or otherwise provide the Company with confidential or proprietary information, except where such information is specifically requested in writing by the Company. Any unsolicited information or materials transmitted by the Client shall not be deemed confidential or proprietary, and the Company shall have no obligation of confidentiality with respect thereto.
  • The Client acknowledges and agrees that any ideas, suggestions, feedback, testimonials, recommendations, or improvements (“Feedback”) provided by the Client relating to the Company’s products or services shall be deemed the sole property of the Company. The Company shall have a perpetual, worldwide, royalty-free right to use, reproduce, adapt, publish, translate, create derivative works from, distribute, and otherwise exploit such Feedback in connection with its products and services, without compensation or attribution to the Client.

8.2 Group Session Recordings

The following provisions apply to all Clients who elect to attend any group coaching sessions, office-hour calls, or similar events or who participate in our online community platform included within the MBA Guided Quest package or other Company programs:

  • Consent to Recording. Group sessions may be recorded by the Company (including audio, video, screenshare, chat transcripts, questions and answers, posts, and submissions, collectively “Recordings” and “Contributions”). By attending such sessions, the Client expressly consents to the recording of their participation and the internal use of such Recordings and Contributions by the Company for the operation, development, and improvement of its current and future programs and services.
  • External Use. The Company shall not use the Client’s name, likeness, image, voice, or any other identifiable content from the Recordings or Contributions for external, public, or promotional purposes without the Client’s prior written consent, granted through a separate Media Release. The Client may withdraw such consent at any time for prospective uses; withdrawal shall not apply retroactively to materials already in use.
  • Anonymized Learnings. The Company may use de-identified and anonymized information derived from Recordings and Contributions (excluding names, likenesses, and other identifiers) for purposes of training, research, marketing, and product development.
  • Confidentiality Limitation. Group sessions are interactive forums. The Client is advised not to disclose information they wish to remain private. The Company expressly disclaims any obligation to maintain confidentiality of information voluntarily shared by the Client during group sessions.
  • Participation Options. Clients may choose not to participate, to participate using an alias, turn off their camera and/or microphone, or request reasonable accommodations by contacting the Company at [email protected].
  • Data Retention. Recordings may be stored and retained by the Company indefinitely. The Client may request takedown of their identifiable content from Company-controlled external distribution channels, and such requests shall be honored on a prospective basis only.

8.3 Community Participation & Confidentiality (Mighty Networks)

  • Community definition. “Community” means the community areas in our private Mighty Networks space and any related groups, events, posts, chats, or DMs.
  • Optional. Community participation/joining is optional and does not affect the rest of your service, but if you choose to join, you will abide by the following rules.
  • Identity & transparency (required). To join/participate, you must use your real first/last name and a current headshot, keep your profile accurate, and represent only yourself
  • Confidentiality of member content. Treat all member‑shared information as confidential. You will not copy, screenshot, record, scrape, download, repost, publish, train AI models on, or otherwise disclose any Community content outside the Community without the content owner’s explicit written consent.
  • Your posts; license to display. You retain ownership of your posts. You grant Career Protocol LLC a limited, worldwide, royalty‑free license to host, display, and moderate your Community posts within the Community and related replays.
  • Anonymized External Use. We may use de-identified excerpts and summaries from your materials, posts, submissions, and group session contributions (“Contributions”) for education, marketing, research, and product improvement in any media, without further consent or compensation.
    • “De-identified” means we remove or alter personal identifiers so you are not reasonably identifiable (e.g., name, image/likeness, email/handles, unique role/project details, and any combination that could single you out). We may paraphrase, aggregate, and redact to prevent re-identification, and we take reasonable measures to minimize this risk.
    • Identifiable use (name, image, voice, or recognizable facts) requires your separate written Media Release and applies only prospectively.
    • If you believe a published item could identify you, email [email protected]; we’ll make reasonable efforts to remove/modify it prospectively on our channels (third party redistributions may be outside our control).
  • Prohibited conduct. No false identities; no harassment; no spam/solicitation or lead harvesting; no competitive intelligence gathering; no selling services/products; no links/files that contain malware or infringe Intellectual Property.
  • Moderation & remedies. We may remove content or suspend/terminate Community access for violations, at our discretion, without refund. Report issues to [email protected].
  • Platform & availability. The Community is hosted by Mighty Networks; their terms and privacy policy apply. We may modify, suspend, or discontinue Community features for maintenance, security, or capacity; this does not reduce your core 1:1 Services and is not grounds for refund.
  • Privacy & recordings. Live Community sessions may be recorded for internal replay within the Community/programs. External use requires your separate Media Release (opt‑in). Do not share sensitive information you want kept private.
  • No Refunds. Modifications to community features or non-material components do not alter SLAs and are not grounds for refund.
  • Opt‑out. Community participation is optional. You may leave at any time; departure does not entitle you to refunds or credits. If you want to remove yourself from the community, send an email to [email protected].

8.4 Client Materials and Data Handling

Client retains full ownership of all materials, documents, and data provided to the Company in the course of the engagement. The Company will use these materials solely for the purpose of delivering the contracted services and for internal coach training purposes and will take reasonable precautions to safeguard client information during the engagement period. 

The Company’s role as a steward and processor of client materials is limited solely to operational use for fulfilling contracted services. The Company makes no representations or warranties regarding long-term storage, data recovery, or archival retention beyond the scope of the engagement. It is the Client’s sole responsibility to retain copies of all submitted materials and deliverables.

8.5 No Liability for Third-Party Disclosures

The Company shall not be responsible or liable for any disclosures, use, or distribution of information made by coaches, contractors, other participants, or third parties, whether during group sessions, in community forums, or otherwise outside of the Company’s direct control. Clients acknowledge that any information voluntarily shared in group settings or public forums may not be treated as confidential, and the Company expressly disclaims any liability arising therefrom.

8.6 No Liability for Device-Level Breaches

The Client acknowledges and agrees that the Company engages independent contractors who may use personal devices to deliver services. While the Company takes reasonable precautions to train contractors in secure data handling practices and require compliance with confidentiality standards, the Company is not responsible or liable for any data loss, unauthorized access, or disclosure resulting from theft, misuse, malware, or breach of contractor devices or systems outside the Company’s direct control.

The Company uses secure, cloud-based platforms and instructs contractors on safe file handling. However, the Client understands and accepts that no digital system is fully secure and agrees to hold the Company harmless for any unintentional access, loss, or misuse of data that may occur despite these reasonable efforts.

8.7 No Submission of Sensitive Information

Clients agree not to submit or upload sensitive personally identifiable information (such as Social Security numbers, government ID documents, bank account numbers, medical records, or legal case files) unless explicitly requested in writing by the Company. Any such submission is done at the Client’s sole risk, and the Company disclaims all responsibility for securing or safeguarding such information beyond general business information protections.

9. Intellectual Property and Use of Resources

9.1 Ownership of Resources

All program materials, including but not limited to content, frameworks, templates, videos, recordings, methods, documents, and any other resources made available by Company, whether through its portal, website, app, programs, or otherwise (collectively, the “Resources”), are and shall remain the exclusive intellectual property of the Company.

9.2 License Grant

Subject to full payment of all applicable fees, the Company grants the Client a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Resources solely for the Client’s individual, personal, non-commercial purposes in connection with the Services. No other rights, title, or interest in the Resources are granted.

9.3 Restrictions on Use

The Client shall not, directly or indirectly:

a) copy, share, reproduce, distribute, publish, transmit, sublicense, sell, display, perform, train on, or otherwise exploit the Resources;

b) modify, adapt, translate, create derivative works from, or reverse engineer the Resources;

c) use the Resources for the purpose of building, supporting, or enhancing any competing product or service; or

d) permit any third party to access the Resources, except as expressly authorized in writing by the Company.

9.4 Competitive Use Restriction

You represent and warrant that, as of purchase and throughout your engagement, you are not employed by, contracting with, or advising any MBA admissions or career‑coaching competitor, and you covenant not to use our Resources to do so, directly or indirectly, without our prior written consent. Breach may result in immediate termination and injunctive relief. This section survives termination.

9.5 Damages for Misuse

If the Client knowingly provides Resources to any third party, including but not limited to another business school applicant, admissions consultant, or competing service provider, the Client agrees to pay liquidated damages to the Company in an amount no less than the then-current 3 School MBA Guided Quest Admit All Access Package fee for each individual or entity with whom such Resources were improperly shared, regardless of whether that individual applies to business school.

If the Client knowingly provides Resources to a competitor, the Client shall be liable for all monetary damages suffered by the Company, including, without limitation, lost profits and lost business opportunities.

9.6 Program Availability

The Company reserves the right, in its sole discretion, to discontinue or modify any portion of the Resources, programs, services, or website without notice or liability.

9.7 License to Submissions

By submitting any ideas, suggestions, feedback, testimonials, recommendations, or information (“Submissions”), the Client grants the Company a perpetual, irrevocable, royalty-free, worldwide license to use, adapt, modify, create derivative works from, reproduce, distribute, and otherwise exploit such Submissions for any purpose, including business operations, advertising, and product development, without compensation to the Client.

9.8 Termination and Remedies

The Company may, in its sole discretion and without prior notice, suspend or terminate the Client’s access to any Resources, website, or Services if the Company determines that the Client has violated these Terms, program agreements, or applicable law.

The Client acknowledges and agrees that any breach of this Section 9 would constitute an unfair business practice that could cause the Company irreparable harm for which monetary damages would be inadequate. Accordingly, in addition to any other remedies available at law or in equity, the Company shall be entitled to seek injunctive relief or other equitable remedies to prevent or curtail any actual or threatened violation of this Section.

9.9 Survival of Rights

The provisions of this Agreement relating to intellectual property ownership, license restrictions, damages for misuse, limitations of liability, dispute resolution, and any other provisions which by their nature are intended to survive, shall survive the expiration or termination of this Agreement.

10. Conduct

The Company maintains a zero-tolerance policy toward harassment, abuse, or other inappropriate conduct directed at its staff, contractors, or other program participants or clients. Any such violation, as determined in the Company’s reasonable discretion, may result in the Client’s immediate removal from the program and services without refund of any fees paid.

11. Non-Affiliation and Fair Use

The Client acknowledges and agrees that MBA Protocol is an independent service provider and is not affiliated with, endorsed by, or sponsored by any university, academic institution, or other third party. Any reference to the names, logos, or trademarks of academic institutions or other organizations is made solely for purposes of identification and constitutes nominative fair use only.

12. Disclaimer of Warranties

Except as expressly set forth in this Agreement, the Company makes no warranties, express or implied, with respect to the Services or Resources provided under this Agreement, and expressly disclaims any express or implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

The Client acknowledges that the MBA application process and subsequent recruitment processes are subjective in nature and outside the control of the Company. Accordingly, neither the Company nor its representatives make any representation, warranty, or guarantee regarding the Client’s admission to any academic institution, achievement of any professional outcome, or success in any related endeavor. 

13. Limitation of Liability

In no event shall either Client or Career Protocol be liable for any damages exceeding the fees due under this Agreement, except in the event that Client violates Career Protocol’s confidentiality, copyright or other intellectual property rights (Section 9 above). In that event, Career Protocol shall be entitled to both injunctive and monetary relief, which may include, without limitation, lost profits, business opportunities, and any other consequential damages suffered by the Company. Otherwise, neither Client nor Career Protocol shall be liable for any lost profits of any kind or any indirect, special, general, incidental, punitive, or consequential damages.

14. Right of Termination

The Company may, at its sole discretion, immediately terminate this Agreement upon written notice to the Client in the event of unethical or disrespectful behavior, deception, misconduct, or other material breach of this Agreement by the Client. In such case, the Client shall not be entitled to a refund of any fees paid, including with respect to Services not yet rendered as of the termination date.

15. Assignment

The Company may assign this Agreement, in whole or in part, to any successor entity, affiliate, or acquirer without restriction. The Client may not assign, delegate, or otherwise transfer this Agreement or any rights or obligations hereunder without the prior written consent of the Company. Any attempted assignment in violation of this provision shall be null and void.

16. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous negotiations, representations, or agreements, whether oral or written. This Agreement may not be modified except by a written instrument executed by both parties.

17. Governing Law; Jurisdiction

This Agreement shall be governed by, and construed in accordance with, the laws of the State of Texas. The parties agree to submit any dispute arising under or relating to this Agreement to mandatory mediation in good faith. If such mediation fails to resolve the dispute, the parties agree that the exclusive jurisdiction and venue for any action shall be the state or federal courts located in the State of Texas, and the parties hereby consent to the personal jurisdiction of such courts.
